Opening a Canadian/USA company in Turkey

Hello everyone, Great to have this Forum and thank you on advance for your inputs.

We are planing to open a corporation in Istanbul. We will be hiring 1-5 Turkish employees for a few months and then much more once we open offices in different places. We have air and surface decontamination company from USA.

Can someone point me to some information as to how we can go about with our plans. We are hiring an attorney but I am just a bit cautious and want to do my own research. What do we need to begin the process of opening the company? Should we open the company first and then get the work permit or vice versa? Any financial requirements?

I will advertise employment opportunities in this forum once we get established.

I've got a few articles in progress regarding opening a company in Turkey. They aren't published yet because I haven't had a lawyer go over them yet. But I could send you the drafts of my articles which would probably answer a lot of your questions. I'll send you a PM about this.

Can give us further information about the shareholder if any, I mean one of the founder is a Turkey citizen or are you planning franchising model ?

Okay here is my initial report about this situation, it has contains answers to some questions.


Establishing the Company

1. In the case of applications filed abroad, foreigners are required to file an application at a consulate of the Republic of Turkey in the country of which they are a citizen or a permanent resident. The application should be accompanied by a labor contract, letter of assignment, or a document stating company partnership. The employer in Turkey is required to file an online application and submit the required information and documents to the Ministry of Labor and Social Security, either in person or via mail, within ten business days following the date of the candidate’s application to a consulate.

2. F
oreigners whose applications are approved by the Ministry of Labor and Social Security must enter Turkey within a maximum of ninety days after the date the work permt is issued.


Required Documentations

If you are applying from outside of Turkey.
 



  • 1. Foreign personnel application form (The form filled online must be printed, and a hardcopy signed by the employer and the foreigner must be submitted to the ministry. If the signed form is unavailable, the employment agreement executed by and between the parties must be submitted. The application will not be processed in the absence of a signed form or a labor contract.)

    2. The Trade Registry Gazette of Turkey, detailing the current shareholding and capital structure of the entity (The document must be scanned and submitted during the online application).

    3.A balance sheet and a profit/loss statement for the most recent year, certified by the tax office or certified public accountant (The document must be scanned and submitted during the online application).

    4. Information and documents stating that the entity is subject to Special Foreign Direct Investments* (These documents must be scanned and submitted during the online application).

    5. A document stating that entities (including consortiums) awarded international tenders by government agencies or organizations have been contracted for the awarded job from the relevant agency or organization (The document must be scanned and submitted during the online application).

    6. In the case of legal entities that are to employ foreign specialists in the field of engineering, architecture, contracting and consulting services, a payroll document stating that Turkish engineers/architects/city planners are employed for the same occupation (The document must be scanned and submitted during the online application)

    7. Notarized power of attorney for the person authorized to file the online application as a user on behalf of the entity or organization to employ the foreigner, or a document attesting to the employment of the user at the applicant entity or organization (The document must be scanned and submitted during the online application).

Thank you greenstein. For whatever reason I did not see your reply...your information is very important and appreciated. 

Actually, I have a Turkish relative (I am not a Turk) in Turkey who will start the company and then hire me as a partner. I am the one who will run the  technical part of the business. I believe this is the easiest approach.  Since this will be a new company, no 3 in your list does not appear to apply-  unless I am wrong.
